Basic Function

Based in Houston and reporting to the Director, Mergers and Acquisitions (M&A), the Manager, Mergers & Acquisitions will manage the company's activities in corporate transactions. This will include development and execution of specific plans for acquisitions of target companies or divestitures of current operations, determining the best approach for contact of targets or prospective buyers, and pursuing targets through relationship building, working with the deal team at LyondellBasell and engaging with teams at various targets. He/she will identify target acquisition opportunities, drive the transaction, manage the deal team, and participate in negotiations with third parties through to closing.

This manager will have to be a hands on individual who should be willing to roll up his/her sleeves and work with the team to contribute to the overall execution of the transactions, including organizing the deal team, working on financial modeling, managing due diligence as well as participating in and coordinating negotiations and the overall deal execution effort.



Roles & Responsibilities

General

  • Lead and manage all the financial modelling, valuation, returns analysis, etc in evaluating and analysing various strategic M&A and investment transactions contemplated
  • Manage the execution of engagement letters, confidentiality agreements, offer memoranda, MOU's/LOI's, and definitive agreements.
  • Analyze the merits and risks of strategic investments, acquisitions, divestitures and partnerships and provide recommendations to senior leaders
  • Coordinate evaluation of the business portfolio, assessing existing business performance and new market development, including adjacent and new verticals and geographic expansions.
  • Prepare senior leaders and executive level communications on M&A project pipeline, individual project summaries including transaction competitive landscape and critical transaction issues, alternative evaluations, strategic fit and business case.
  • Develop best practices and continuous improvement of processes within the function.


Qualifications

Education

  • Bachelor of Science, Finance or Economics
  • MBA preferred

Work Experience

  • Minimum of 6 years of total work experience required
  • Minimum of 3 years of relevant M&A experience required (including corporate development, private equity, and/or investment banking)
  • Superior skills in financial modeling and quantitative analysis, use of Excel and PowerPoint and keen attention to detail
  • Deep knowledge of financial statements and valuation methodologies, Merger modeling, accretion/dilution analysis, merger accounting, depreciation, tax, write-ups
  • Excellent verbal, written, and presentation skills.
  • Excellent analytical, research, organizational, and project management skills
  • Experience managing M&A deal processes through the deal execution lifecycle
  • Has exceptional problem-solving skills and sound judgment
  • Chemicals/broader process industries experience preferred
